We are your specialized M&A consultant for company sales and succession. We support entrepreneurs in their succession and the sale process of their life's work, throughout the entire M&A process. We see ourselves as M&A Advisory and offer M&A services for medium-sized companies that were previously only reserved for large companies. We combine the most important specialist skills from law, tax, finance and M&A to structure your deal in the best possible way.
Are you thinking about selling your company?
We specialize in advising and supporting medium-sized company sales and acquisitions. We cover all transaction-relevant specialist areas in-house. You do not need any other external consultants for your succession. Even our domestic data room is available to you without limitation for the orderly exchange of information as part of your project. After the company and market analysis, we prepare all important sales documents (teaser, information memorandum, company valuation) and approach potential buyers according to a project plan agreed with the seller. We enable an orderly exchange of information via the Seal the Deal Data Room as part of the due diligence, conduct the negotiations and accompany the project until signing & closing. We find the right buyer for your life's work and negotiate the best possible deal - that is what we understand by sustainability and in doing so we contribute to the preservation of companies, jobs and Austria as a business location.

The Four M&A Phases for Success in a Sale:
I.
Preparation Phase
A detailed analysis of the market, competition and the company itself enables the creation of sales documents according to national and international quality standards.
-
Teasers
-
Information Memorandum
-
Non-Disclosure Agreement (NDA)
-
Company valuation according to KFS BW 1
-
Market and competitive analysis
II.
Market Approach
In consultation with the entrepreneur, we create a list of potential buyers and approach them as planned. First, an anonymized short description (teaser) of the company is provided. After signing a confidentiality agreement, the interested party receives the information memorandum (exposé) we have prepared. This contains, among other things, a current company valuation and a well-founded description of the company. After receiving the letter of intent (LOI) from the potential buyers, we select the preferred participants in the due diligence together with the entrepreneur.
Due Diligence
In the due diligence phase, prospective buyers who have made a suitable offer for the company are invited to carry out a due diligence check. We support the entrepreneur in preparing the data room and in selecting the appropriate documents, files and copies. In most cases, discussions are held between the prospective buyers and the entrepreneur during this phase. A management presentation can also take place during a company tour. Once the due diligence is complete, binding offers are obtained from potential buyers.
III.
IV.
Final Phase
Especially in the closing phase, it is crucial to have the right team of experts from tax, law and M&A on your side, who have structured and planned the transaction process up to signing and closing. All stakeholders involved in the process have invested in the project and now, in the final phase before the contract is signed, it is important to use experience and tact to successfully complete the sales transaction and preserve the value. The last phase of an M&A process usually consists of the following elements:
-
negotiations
-
Finalization of SPA
-
Signing of the purchase contract
-
Completion of the transaction (closing)
